Divorceopedia Provider Terms and Listing Agreement (Draft)

Effective Date: September 1, 2026

This Provider Terms and Listing Agreement (the “Agreement”) is between Divorceopedia, LLC, a Delaware limited liability company (“Divorceopedia,” “we,” “us,” or “our”), and the provider identified in the online enrollment or order process (“Provider” or “you”).

By creating a provider account, requesting or maintaining a listing, or paying any listing fees, you agree to be bound by this Agreement.

1. Scope of Services

1.1 Divorceopedia Platform.

Divorceopedia operates an online platform that allows users to discover and learn about independent providers, access educational content, and view ratings, reviews, and Divorceopedia’s proprietary assessments.

1.2 Provider Participation.

Under this Agreement, Divorceopedia may:

  • List Provider’s practice or business profile in one or more categories.
  • Display Provider’s contact information, locations, services, and other submitted content.
  • Show user reviews and ratings associated with Provider.
  • Apply and display Divorceopedia’s proprietary scoring, badges, and other assessments to Provider’s listing.

1.3 No Guarantee of Clients or Outcomes.

Divorceopedia does not guarantee any particular volume of leads, clients, revenue, or outcomes from being listed, regardless of the listing type or fees paid.

2. Independent Provider Relationship

2.1 Independent Status.

Provider is and will remain an independent professional or business and is not an employee, partner, joint venturer, or legal agent of Divorceopedia solely by virtue of this Agreement or being listed on the platform.

2.2 No Control Over Professional Services.

Provider is solely responsible for the nature and quality of any services it offers to users and for all professional judgments, advice, and actions. Divorceopedia does not supervise, direct, or control Provider’s professional services and does not practice law, medicine, mental health counseling, or any regulated profession.

2.3 Provider’s Clients and Contracts.

Any engagement between Provider and a user is solely between Provider and that user under Provider’s own agreements, consents, and policies. Divorceopedia is not a party to those contracts and bears no responsibility for their performance or enforcement.

3. Eligibility and Provider Obligations

3.1 Eligibility Requirements.

Provider represents and warrants that:

  • Provider and its professionals are duly licensed, registered, or otherwise authorized as required to provide their services in all relevant jurisdictions.
  • All licenses, certifications, and registrations are current and valid, and Provider will promptly update Divorceopedia if any such authorization is suspended, revoked, restricted, or lapses.

3.2 Accurate and Complete Information.

Provider will:

  • Provide true, accurate, and complete information about its identity, practice, services, fees, and locations.
  • Keep all profile information current, including contact details and licensing information.

3.3 Compliance with Law and Ethics.

Provider is solely responsible for complying with all applicable federal, state, and local laws, rules, and ethical obligations, including:

  • Professional licensing and scope of practice rules.
  • Advertising and solicitation rules for the relevant profession(s).
  • Privacy and data-protection obligations applicable to Provider (e.g., professional confidentiality duties).

3.4 Professional Insurance.

Where customary or required in Provider’s field, Provider is responsible for maintaining appropriate professional liability or malpractice insurance coverage.

4. Listing Types, Fees, and Payment

4.1 Listing Types.

Divorceopedia may offer multiple listing options, such as:

  • Basic or free listings with limited profile features.
  • Paid listings with enhanced visibility, additional profile fields, or promotional placements.
  • Tiered listing packages with different benefits and pricing.

Details of current listing types, features, and pricing will be disclosed during the online enrollment or order process and may be updated from time to time.

4.2 Listing Fees.

Provider agrees to pay any applicable listing fees, subscription fees, or other charges associated with the chosen listing type (collectively, “Listing Fees”) in the amounts and on the schedule presented at the time of selection (e.g., monthly, annual, or per-listing).

4.3 Billing and Payment.

  • Listing Fees are typically billed in advance for the applicable term (e.g., monthly or annually), unless otherwise specified.
  • Provider authorizes Divorceopedia or its payment processor to charge the payment method on file for all applicable Listing Fees and taxes.
  • Provider is responsible for any applicable sales or use taxes, except to the extent Divorceopedia is required by law to collect and remit such taxes.

4.4 Non-Refundable Fees.

Unless explicitly stated otherwise in writing or required by law, Listing Fees are non-refundable, including if Provider cancels before the end of a paid term or if Divorceopedia removes or suspends Provider’s listing due to breach of this Agreement.

4.5 Changes to Fees.

Divorceopedia may modify Listing Fees or introduce new fees upon reasonable prior notice (e.g., via email or in-platform notification). Changes will not apply retroactively to a current prepaid term but will apply to renewals and new purchases.

4.6 Non-Payment.

If Provider fails to pay any Listing Fees when due, Divorceopedia may, without prejudice to other rights:

  • Suspend or downgrade Provider’s listing.
  • Remove promotional placements.
  • Terminate this Agreement.

5. Provider Content and Use of Information

5.1 Provider Content.

“Provider Content” includes any text, images, logos, headshots, videos, descriptions, credentials, pricing, documents, or other materials Provider submits or authorizes Divorceopedia to use in connection with the platform.

5.2 License to Divorceopedia.

Provider grants Divorceopedia a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display Provider Content as reasonably necessary to operate, promote, and improve the platform and Provider’s listing.

5.3 Representations About Provider Content.

Provider represents and warrants that:

  • Provider owns or has the necessary rights to all Provider Content.
  • Provider Content is accurate and not misleading.
  • Provider Content does not infringe any third-party rights, including copyrights, trademarks, privacy, or publicity rights.

5.4 Updates and Corrections.

Provider will promptly update Provider Content as needed to keep it accurate and will respond reasonably to Divorceopedia’s requests for corrections or verifications.

5.5 Removal or Editing.

Divorceopedia may edit, refuse to publish, or remove Provider Content that it reasonably believes is inaccurate, misleading, unlawful, offensive, or otherwise inconsistent with platform guidelines or this Agreement.

6. User Reviews, Ratings, and Feedback

6.1 User-Generated Reviews.

Users may submit reviews, ratings, and feedback about Provider. Provider acknowledges that:

  • Such reviews and ratings reflect the opinions of individual users, not Divorceopedia.
  • Divorceopedia is not responsible for the content of user reviews.

6.2 No Gag Clauses.

Provider will not require users to waive or restrict their ability to leave honest, lawful reviews about Provider’s services. Provider will not include non-disparagement clauses that violate consumer review protections in its agreements with users.

6.3 Moderation by Divorceopedia.

Divorceopedia may, in its discretion, moderate or remove user content that it reasonably believes is unlawful, abusive, fraudulent, or clearly violates guidelines, but is not obligated to remove content merely because Provider disagrees with it.

6.4 Response to Reviews.

Provider may have the ability to respond to user reviews in a professional and respectful manner that complies with privacy laws and confidentiality duties. Provider remains responsible for ensuring that its responses do not disclose confidential information or violate professional rules.

7. Proprietary Scoring, Badges, and Rankings

7.1 Divorceopedia’s Proprietary Rubric.

Divorceopedia may evaluate and display proprietary scores, rankings, or badges for Providers using an internal rubric and methodology that may consider, for example:

  • Verified credentials and experience.
  • Responsiveness and engagement with users.
  • User ratings and complaint patterns.
  • Profile completeness and adherence to platform standards.

7.2 Confidential Methodology.

The specific weighting, criteria, algorithms, and other aspects of Divorceopedia’s scoring and ranking methodology are confidential and proprietary. Provider acknowledges that:

  • Divorceopedia is not required to disclose its full methodology.
  • The rubric may evolve over time as Divorceopedia updates its systems.

7.3 No Guarantee of Placement.

Payment of Listing Fees may influence visibility (for example, promoted placements or featured listings), but Provider’s overall ranking or score may also be affected by quality-related factors and user feedback. Divorceopedia does not guarantee any specific rank, score, or placement.

7.4 Accuracy and Process.

Divorceopedia will use reasonable efforts to apply its scoring rubric consistently and may create internal processes to review significant errors or disputes about factual inputs (e.g., incorrect credentials or location data).

8. Confidentiality and Privacy

8.1 Divorceopedia Information.

Provider may gain access to Divorceopedia’s non-public information, including business plans, internal policies, algorithms, and financial information. Provider agrees to keep such information confidential and use it solely for purposes of this Agreement.

8.2 User Data and Privacy.

Provider’s access to any user information obtained via the platform is subject to Divorceopedia’s Privacy Policy and applicable privacy laws. Provider is solely responsible for complying with its own professional confidentiality and privacy obligations and must not misuse or improperly disclose user information.

8.3 Abuse and Safety.

Provider must handle disclosures of domestic violence, emotional abuse, or safety concerns in a manner consistent with applicable laws and professional obligations. Divorceopedia is not responsible for how Provider responds clinically or professionally to such disclosures.

9. Disclaimers; Limitation of Liability

9.1 Platform “As Is.”

The platform, including listing and scoring features, is provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, express or implied, including any warranties of accuracy, non-infringement, merchantability, or fitness for a particular purpose.

9.2 No Warranty Regarding Leads or Revenue.

Divorceopedia does not warrant that Provider will receive any particular number of leads, clients, revenue, or outcomes from its listing or participation on the platform.

9.3 Limitation of Liability.

To the fullest extent permitted by law, Divorceopedia’s total liability to Provider for any claims arising out of or relating to this Agreement or Provider’s use of the platform shall not exceed the total Listing Fees paid by Provider to Divorceopedia during the six (6) months immediately preceding the event giving rise to the claim.

9.4 Exclusion of Certain Damages.

To the fullest extent permitted by law, Divorceopedia shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits or business, even if advised of the possibility of such damages.

10. Indemnification

Provider shall indemnify, defend, and hold harmless Divorceopedia and its owners, officers, employees, and agents from and against all claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Provider’s professional services or failure to provide services.
  • Provider’s breach of this Agreement or any applicable law.
  • Provider Content or any misrepresentation made by Provider.
  • Provider’s interactions and disputes with users or third parties.

11. Term and Termination

11.1 Term.

This Agreement begins on the date Provider accepts it and continues until terminated as set forth below.

11.2 Provider Termination.

Provider may terminate this Agreement by following the account closure or listing cancellation process in the platform or by providing written notice to Divorceopedia. Termination will not entitle Provider to a refund of prepaid Listing Fees, unless otherwise required by law or explicitly stated in a separate written policy.

11.3 Divorceopedia Termination or Suspension.

Divorceopedia may suspend or terminate Provider’s listing or this Agreement, in whole or in part, at any time, with or without cause, upon notice to Provider. Reasons may include (without limitation):

  • Non-payment of Listing Fees.
  • Suspected fraud or misuse of the platform.
  • Repeated serious user complaints.
  • Evidence of unlicensed practice or loss of required license(s).
  • Breach of this Agreement or platform policies.

11.4 Effect of Termination.

Upon termination:

  • Provider’s listing may be removed or downgraded.
  • Certain data or content may remain in anonymized or aggregated form where legally permissible.
  • Sections that by their nature should survive (including confidentiality, intellectual property, disclaimers, limitation of liability, and indemnification) will survive termination.

12. Dispute Resolution and Arbitration

12.1 Informal Resolution.

The parties will attempt in good faith to resolve any dispute or claim arising out of or relating to this Agreement by informal discussions before initiating arbitration.

12.2 Binding Arbitration.

Except where prohibited by law, any dispute, claim, or controversy arising out of or relating to this Agreement that cannot be resolved informally shall be resolved by binding arbitration on an individual basis, administered by the American Arbitration Association (AAA) or a similar provider, under its applicable rules. Arbitration shall take place in or near New Castle County, Delaware, unless the parties agree otherwise.

12.3 No Class Actions.

Provider and Divorceopedia agree that any arbitration shall be conducted only in their individual capacities and not as a class action or other representative proceeding. The parties expressly waive the right to participate as a class representative or class member.

12.4 Injunctive Relief.

Either party may seek temporary or preliminary injunctive relief in court to protect its intellectual property or confidential information, pending a final determination by the arbitrator.

12.5 Enforceability.

If the class-action waiver in this section is found unenforceable, this entire arbitration clause shall be void, and disputes will instead be resolved in court, subject to Section 13 (Governing Law and Venue).

13. Governing Law and Venue

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law principles. Subject to the arbitration clause, any permitted court proceedings shall be brought exclusively in the state or federal courts located in Delaware, and each party consents to the personal jurisdiction of such courts.

14. Miscellaneous

14.1 Entire Agreement.

This Agreement, together with any incorporated policies or order forms, constitutes the entire agreement between Provider and Divorceopedia regarding Provider’s listing and participation on the platform.

14.2 Amendments.

Divorceopedia may modify this Agreement from time to time. Material changes will be communicated via email or platform notice, and continued use of the provider account or listing after the effective date of changes constitutes Provider’s acceptance.

14.3 Assignment.

Provider may not assign or transfer this Agreement without Divorceopedia’s prior written consent. Divorceopedia may assign this Agreement in connection with a merger, acquisition, reorganization, or sale of assets, or by operation of law.

14.4 Severability.

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

14.5 No Waiver.

Failure of either party to enforce any provision of this Agreement shall not be a waiver of that provision or any other provision.
